CONSTITUTION

1. NAME

The Association shall be known as the Association of Municipal Administrators of New Brunswick in English and Association des Administrateurs Municipaux du Nouveau-Brunswick in French.

2. OBJECTIVES

(1) The objectives of the Association shall be:

a) To promote and advance the status of persons employed in the field of Municipal Administration in the Province.

b) To advance the quality of administration of municipal services in the Province.

c) To encourage a closer official and personal relationship among members to facilitate and interchange of ideas and experience.

d) To establish and maintain standards of performance for members.

e) To assist in the provision of formal training and educational facilities for its members and to secure for them such professional standing as may assist them in the discharge of their duties.

f) To consider any legislation affecting Municipalities and to suggest to the government of the Province of New Brunswick such amendments as may be deemed.

(2) The Association shall be a non-profit association and no part of its earnings or income shall enure to the benefit of any individual; and, no officer, member, or employee of the Association shall receive any monetary profit from the operation thereof, except reasonable compensation for services rendered on behalf of the Association.

(3) Collective Bargaining

Notwithstanding any provisions therein, the Association shall not have as one of its objects, nor shall it have the power to enter into collective bargaining between employer and employees under the provisions of any statute relating thereof or under any other circumstances; nor shall the Association have as one of its objects, nor shall it have the power to join, associate with, affiliate with, or take into membership any local or provincial organization or association of employees or local or provincial branch or a national or international organization or association of employees, having as one of its objects the regulation of relations between employers and employees through collective bargaining.

(4) The Association shall be bilingual with French and English being the official languages of the Association.

3. MEMBERSHIP

(1) The membership shall consist of:

a) Regular members who are employees of a Municipality or other government agency engaged in the field of municipal administration or service to municipalities and exercise general managerial responsibilities.

b) Associate members who may be any person having special knowledge, experience, or interest in any phase of municipal administration or service, such as a professor, editor of a periodical addressing itself to the field of municipal administration or service, or a member of the staff of a non-profit organization that is, interested in the field of municipal administration or service.

c) Honorary members who are persons of renown and distinction who have made a major contribution in the field of municipal administration, recommended by the Membership Committee and approved by the Board of Directors.

d) Life members who are members who have retired from the field of municipal administration or education, have been members in good standing for at least ten years or were charter members; have been recommended by the Membership Committee and approved by the Board of Directors.

(2) All applications for membership must be approved by the Board of Directors.

(3) A certificate of membership shall be issued to each member upon payment of fee.

(4) Every member, upon admission, shall agree to comply with the Constitution, By-Laws and Code of Ethics of the Association.

(5) Only regular members in good standing shall have the right to vote, to hold office, and the right to be on the Board of Directors.

4. MEMBERSHIP FEE

The Association may prescribe membership fees from time to time.

5. FINANCIAL

(1) The fiscal year of the Association shall be from April 1st to March 31st.

(2) The annual membership fee shall be recommended by the Board of Directors and determined by the general membership; invoices for membership fees shall be sent by the Treasurer within 30 days of the Annual Conference.

6. REGIONAL CHAPTERS

The following rules shall apply to the formation and function of Regional Chapters within the Association:

(1) Members representing municipalities of the Association may organize themselves into a Regional Chapter and apply for recognition at the Annual Conference, such application to be recommended by the Board of Directors and approved by the general membership.

(2) It shall be the duty of the Board of Directors to refer any such application referred to in clause (1) to the next Annual Conference, together with the report of the Board of Directors thereon.

(3) Each Regional Chapter may make written recommendations to the Board of Directors regarding the agenda of the Annual Conference or any other pertinent matters affecting the Association.

(4) The Regions are to be composed of those municipalities as in Appendix A attached to and forming a part of this Constitution.

7. EXECUTIVE OFFICERS

(1) The Board of Directors of the Association shall consist of:

a) the immediate Past-President, ex-officio;

b) the President;

c) Nine directors, one representing each region. The term of a regional director shall be for three (3) years. Further terms may be served at the pleasure of the Board.

d) one Director from the department and portfolio responsible for local government or other resource persons as the Board of Directors deems necessary.

e) one or two Directors may be added to the Executive by the President in order to correct any imbalances i.e. to assure city, town, village representation.

f) the Chairperson of the Education Committee.

(2) The members of the Board of Directors shall be elected at each Annual Meeting and shall hold office until such time as new officers are elected at the subsequent Annual Conference.

(3) The Nomination Committee shall be comprised of the Past-President and two (2) other long term members in good standing appointed by the Board of Directors. The Nomination Committee shall nominate the President, Vice-President, Treasurer, Secretary and nine Directors (one from each of the nine Regions) and other resource persons as the Board of Directors deems necessary. The Nominating Committee shall present its nominees for the Board of Directors to the Annual Conference. Additional nominations to any executive office may be made to the Annual Meeting by any Active Member in good standing. Where more than one qualified person is nominated for President, or Director of a Region, an election shall be held by secret ballot.

(4) Wherever a vacancy in any executive office shall occur, the President shall forthwith appoint an Active Member in good standing to fill such vacancy until the next Annual Meeting. Provided that when the office of President becomes vacant, the Vice-President shall immediately succeed thereof.

(5) The Executive of the Association shall comprise the Board of Directors.

(a) All members of the Board of Directors shall be and remain members of the Association in good standing, otherwise their appointments shall terminate and their positions on the Board of Directors shall be declared vacant; a vacancy results when a member is absent from four or more consecutive meetings of the Board.

(b) The Board of Directors shall be responsible for the supervision, control and administration of the affairs of the Association and the prompt and efficient conduct of all business directed it, or assigned to it, from time to time by the Association, and shall hold its meetings on such dates as may be fixed by resolutions of such Board or, at the call of the President, and the Board of Directors may, for the purpose of appointing dates for its meetings, confer and vote by conference communication.

(c) The Board of Directors of the Association shall make their best effort to ensure that the President and Vice-President be representative of both linguistic groups.

8. PRESIDENT

(1) The President shall preside at all meetings of the Association; designate, with the concurrence of the Board of Directors, the bank with which the Association's account be kept; and generally exercise such overseeing of the affairs of the Association as may best promote its prosperity and protect its interests.

(2) He or she shall be Chairperson of the Board of Directors.

(3) He or she shall prepare the Annual Report, which shall contain a complete and comprehensive account of the year's work, together with such suggestions and recommendations as may in his judgement be in the best interests of the Association.

(4) He or she shall, upon taking office, appoint at the Annual Conference two competent persons to audit the accounts of the Association for the current fiscal year.

9. VICE-PRESIDENT

The Vice-President shall, in the absence of the President, assume his position and discharge his duties, and in doing so shall be possessed of all powers enjoyed by that officer.

9.1. PAST PRESIDENT

The Past President shall be a member of the Certification Committee and shall exercise all duties and enjoy all privileges associated with being a member of the Certification Committee.

 

10. SECRETARY

The Secretary shall, in the absence of the Executive Director:

(1) conduct the correspondence of the Association and report thereon to the Board of Directors;

(2) give notice of all meetings of the Board of Directors and of the Association and give such other notices as may be required;

(3) keep Minutes of the proceedings of the Annual Meeting and other meetings of the Association and the Board of Directors;

(4) assume such other duties as required by the Board of Directors.

The secretary may be paid an honorarium in such amount as shall be set at the Annual Conference.

11. TREASURER

(1) The Treasurer shall have charge of the books and financial records of the Association and other property of the Association, keep a correct roll of the officers and members of the Association, which he shall keep up to date and keep the Secretary so informed, receive all monies due to the association by members, or from other sources, giving receipts therefore and depositing the same immediately to the credit of the Association in such bank as the President may direct, and pay all accounts due by the Association by cheque duly signed by: one of: President or Vice-President, and the Treasurer or Executive Director.

(2) The Treasurer shall submit the books and accounts to the auditors when requested and shall present to the Board of Directors before the opening of the Annual Conference a full and complete statement of the finances of the Association, showing all receipts and disbursements of the year, together with a complete statement of uncollected fees, if any.

(3) The Treasurer may be paid an honorarium in such amount as shall be set at the Annual Conference.

12. ELECTIONS

(1) The Election of Officers shall, except in the case of acclamation, be by ballot and shall take place at the Annual Conference. Each candidate for elective office must be duly proposed by a member at the Annual Meeting before the nomination can be accepted.

(2) The following rules shall apply to filling elective offices:

If only one person is nominated for each office, that person shall be declared elected by acclamation. If more than one person is nominated for each office, balloting shall proceed and the person receiving the highest number of votes in each case shall be declared elected.

(3) The Board of Directors so elected shall take office for the closing exercises of the Annual Conference at which they were elected and shall hold office until the next Board of Directors takes office.

(4) Each regular member shall be entitled to one vote.

13. ANNUAL CONFERENCE

(1) The Annual Conference of the Association shall be held on a day or days and at a place to be agreed upon by the Board of Directors. At least four weeks written notice of such conference shall be given to members.

(2) The Annual Conference fee shall be set by the Board of Directors of the Association and notification of the amount of such fee as set by the Board of Directors shall be sent to the membership at the time of the sending of the notice of the Annual Conference. The Annual Conference fee shall be payable by all members to the Treasurer at or before the commencement of the Annual Conference each year. Those in default shall de precluded from participating in the Annual Conference.

14. COMMITTEES

Committees shall be appointed at the discretion of the President. The first named on each Committee shall be the Chairperson and the President shall be an ex-officio member of all Committees.

 

15. QUORUM

A quorum for any meeting of the Board of Directors or any other Committee of the Association shall be a simple majority of the number of members.

16. AMENDMENTS

Revisions to this Constitution may only be made at the Annual Conference or a Special General Meeting. Any member desiring a change in the constitution must submit his or her proposed amendment in writing to the Secretary, who shall provide each member of the Association with a copy of the proposed amendment, at least four (4) weeks prior to the Annual Conference or the Special General Meeting.

A simple majority vote of all members present and entitled to vote at such a meeting shall be necessary to carry a revision to the Constitution.

17. PROCEDURE

Any resolution may be passed by a simple majority of those present and entitled to vote. Any question of procedure, not especially provided for, shall be decided by the President upon reference to the most contemporary edition of Roberts Rules of Order and Code Moraine.
